What the lesson covers

  1. 0:00Form 144 is filed before the sale, not after it.
  2. 0:05The purpose. Affiliates selling restricted stock must give notice of the amount they intend to sell.
  3. 0:14Intent, not execution. It is permission to sell up to an amount. The sale may be smaller, or never happen.
  4. 0:23How to use the pair. The 144 warns you supply may come. The Form 4 tells you whether it did.
  5. 0:32The volume limit. Rule 144 caps how much an affiliate can sell in a rolling three-month window.
  6. 0:40Treat it as advance notice, then check the Form 4.
